Terms and Conditions

Welcome to QSM LLC (Quality Standards Machinery). These Terms and Conditions govern your use of our website and the purchase of any industrial equipment, machinery, or supplies from us. By accessing our site or placing an order, you agree to be bound by the following:

1. General Trading Terms

• Company Information: QSM LLC is a licensed trading entity registered in the United Arab Emirates.
• Eligibility: By placing an order, you confirm that you are authorized to represent your business or entity and that all information provided is accurate.

2. Quotations and Pricing

• Validity: All quotes provided by QSM LLC are valid for the mentioned period from the date of issue, unless otherwise stated, due to market fluctuations in industrial material costs.
• Currency: All prices are quoted in UAE Dirhams (AED) unless specifically noted otherwise.
• VAT: In accordance with UAE Federal Law, a Value Added Tax (VAT) will be applied to all taxable supplies and services.

3. Orders and Payment

• Confirmation: An order is considered confirmed only upon receipt of a formal Purchase Order (PO) and the agreed-upon initial payment.
• Payment Terms: Standard terms require a specific percentage as a down payment, with the balance due before delivery or as per the credit agreement approved by our finance department.
• Delayed Payment: QSM LLC reserves the right to suspend deliveries or charge interest on overdue invoices.

4. Delivery and Risk of Loss

• Logistics: We facilitate delivery across Dubai, Abu Dhabi, Sharjah, and the wider Gulf Countries. Delivery timelines are estimates and depend on manufacturer availability and shipping schedules.
• Transfer of Risk: The risk of loss or damage to the machinery passes to the Buyer upon delivery to the specified site or upon collection from our warehouse.
• Heavy Lift: For Heavy Machinery, the Buyer is responsible for ensuring the site is accessible and prepared for offloading unless a “Delivered to Site & Positioned” agreement is in place.

5. Product Warranties and Inspections

• Manufacturer Warranty: All products, including Power Generation and Oil Field Equipment, carry the standard warranty provided by the original manufacturer. QSM LLC acts as a facilitator for warranty claims.
• Inspection: The Buyer must inspect all goods upon delivery. Any discrepancies or damages must be reported in writing within a specific time.

6. Limitation of Liability

• QSM LLC shall not be liable for any indirect, incidental, or consequential damages (including loss of profit or site downtime) resulting from the use or inability to use the equipment.
• Our total liability for any claim shall not exceed the purchase price of the specific item causing the dispute.

7. Returns and Cancellations

• Custom Orders: Orders for specialized or custom-built industrial equipment cannot be canceled once production or procurement has commenced.
• Restocking Fee: Returns of standard stock items are subject to a restocking fee, provided the items are in original, unused condition.

8. Governing Law and Jurisdiction

• These Terms and Conditions are governed by and construed in accordance with the laws of the United Arab Emirates as applied in the Emirate of Dubai/Sharjah.
• Any disputes arising shall be subject to the exclusive jurisdiction of the UAE Courts.

9. Force Majeure

• QSM LLC is not responsible for delays or failure to perform caused by circumstances beyond our control, including but not limited to global shipping delays, port strikes, or changes in import/export regulations.
